Terms of Service

Terms and conditions governing your use of the Fiinsyt platform.

These Terms of Service ("Terms") govern your access to and use of the Fiinsyt platform and related services (the "Service") provided by Fiinsyt ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Fiinsyt is a multi-tenant SaaS borrower readiness and loan facilitation platform. The Service includes six modules: The Compass, Loan Packaging, Lending Platform, Deal Flow, Network Admin, and Stakeholder Intelligence. Each module is independently purchasable and configurable.

Fiinsyt is not a lender. We do not make lending decisions, set loan terms, or guarantee loan approval. The platform facilitates connections between borrowers, counselors, packagers, and lenders — all credit decisions are made by the participating lending institutions.

3. Accounts

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Keeping your account information current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription and Payment

Access to the Service requires a paid subscription, except for borrowers (who use the platform at no cost) and external referrers and committee members (who access limited features without persistent accounts).

  • Billing: Subscriptions are billed monthly or annually as selected. Annual contracts receive a 15% discount.
  • Payment terms: Net-30 payment terms. Late payments may result in service suspension.
  • Price changes: We may adjust pricing with 30 days' notice. Existing contracts are honored for their term.
  • Per-loan fees: Where applicable, per-loan origination fees are capped as specified in your subscription agreement.
  • Refunds: Subscription fees are non-refundable except as required by law or as specified in your subscription agreement.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation
  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to compete with Fiinsyt or create a competing product
  • Scrape, harvest, or collect data from the Service without authorization
  • Share your account credentials with unauthorized individuals

6. Intellectual Property

The Service, including its design, features, documentation, and underlying technology, is the intellectual property of Fiinsyt and is protected by copyright, trademark, and other laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

You retain ownership of the data you upload to the Service. By uploading data, you grant us a limited license to process, store, and display that data as necessary to provide the Service.

7. Data Rights and Portability

Borrowers own their Fiinsyt profile data and can export it at any time through the Fiinsyt Portable Packet feature. Bulk data export in machine-readable format (JSON/CSV) is always free. Verified packet exports with the Fiinsyt verification seal may incur a nominal fee.

Organizations retain ownership of their operational data. Upon contract termination, we will provide a data export within 30 days of request.

8. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIINSYT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Fiinsyt and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

  • By you: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • By us: We may suspend or terminate your access for violation of these Terms, non-payment, or other cause with notice.
  • Effect of termination: Upon termination, your access to the Service ceases. You may request a data export within 30 days. We retain data as required by law and our data retention policy.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.

12. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any subscription agreement, constitute the entire agreement between you and Fiinsyt.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, for subscribers, via email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
